Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the roctoo.com platform, including its website, mobile applications, and related services (collectively, the "Platform"). The Platform is owned and operated by Roctoo Portal FZE ("Roctoo", "we", "us", or "our"). By creating an account, browsing listings, submitting a property requirement, or otherwise using the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1. Definitions

• "Platform" means the roctoo.com website and application, and all related tools, dashboards, and services offered by Roctoo.
• "User" means any person who registers on or uses the Platform, including Clients, Brokers, and Company Members.
• "Client" means a User who browses, buys, sells, leases, or submits a property requirement ("Demand") without acting in a professional brokerage capacity.
• "Broker" or "Agent" means a User registered on the Platform to list properties, respond to Demands, and represent buyers, sellers, landlords, or tenants in a professional capacity.
• "Company" means a real estate brokerage or agency registered on the Platform, together with its Company Members (team members operating under that Company's profile).
• "Listing" means a property record submitted to the Platform by a User, which may be published as public or private, and may be marked as standard, featured, premium, verified, or exclusive.
• "Demand" means a property requirement submitted by a Client describing the type of property, budget, and location preferences sought.
• "Match" means a system-generated pairing between a Listing and a Demand, produced using Platform scoring and matching logic ("DNA").
• "Proposal" means an offer submitted by a Broker in response to a Demand or Match.
• "Transaction" means any recorded payment, deposit, commission, or external transaction submitted to or processed through the Platform.
• "Deal" means a recorded sale, lease, or other closed outcome linked to a Listing and/or Demand.

2. Eligibility and Account Registration

• You must be at least 18 years old and capable of entering into a legally binding agreement under the laws of the United Arab Emirates to register on the Platform.
• You must provide accurate, current, and complete information during registration, including your full name and phone number, and must promptly update this information if it changes.
• Users registering as a Broker or Company represent that they hold, or are in the process of obtaining, all licenses, permits, and registrations required by the relevant UAE real estate regulatory authority (including, where applicable, RERA) to carry out brokerage activities, and agree to provide verification documents on request.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
• Roctoo may, at its discretion, verify, suspend, or decline any account, listing, or Broker/Company profile pending review.

3. Roles on the Platform

3.1 Clients — Clients may browse Listings, save preferences, submit Demands describing the property they are seeking, and communicate with Brokers or Companies through the Platform. Clients are responsible for independently verifying any property, price, and terms before entering into a transaction.

3.2 Brokers and Agents — Brokers may publish Listings, respond to Demands with Proposals, and manage their pipeline of clients and deals through the Platform. Brokers agree to act professionally, to represent Listings accurately, and to comply with all applicable UAE real estate laws and codes of conduct.

3.3 Companies and Team Members — A Company may register a team profile and invite Company Members. The Company is responsible for the conduct of its Company Members on the Platform, including Listings and Proposals submitted under the Company's profile, and for promptly removing access for members who leave the Company.

4. Property Listings

• You represent that you have the legal right, authority, or instruction from the property owner to publish any Listing you submit, and that all details (price, location, specifications, ownership/agency status, and exclusivity) are accurate and kept up to date.
• Listings may be designated as public or private, and as standard, featured, premium, or verified, at the User's selection or subject to Platform review. Designation as "verified" reflects Platform-level checks at the time of verification and does not constitute a guarantee, valuation, or legal certification of the property.
• Where a Listing is marked exclusive (no agent-to-agent sharing), Brokers agree not to redistribute or re-list that property through other agents without the authorization required under the Listing's terms.
• Owner access to a Listing (where granted to a property owner to review or approve activity on their property) may expire automatically after the period stated at the time access was granted, after which renewed authorization may be required.
• Roctoo reserves the right to edit, suspend, unpublish, or remove any Listing that it reasonably believes is inaccurate, duplicated, unauthorized, or in breach of these Terms.

5. Demands and Matching

• Clients may submit a Demand describing their property requirement, including budget range, location, and property type. Submitting a Demand does not guarantee that a suitable Listing exists or that a Match will be generated.
• The Platform's matching logic automatically compares Demands against available Listings and produces a Match score. Match scores are provided as a discovery aid only and do not constitute a recommendation, valuation, or advice to transact.
• Brokers may submit Proposals in response to a Demand or Match. Clients are under no obligation to accept any Proposal, and Brokers are under no obligation to have every Proposal accepted.
• Location and category preferences submitted as part of a Demand are used solely to refine matching results shown to the relevant User and their assigned Broker (if any).

6. Transactions, Deals, and Portfolios

• Where a Transaction (such as a deposit, payment, or commission record) is submitted through the Platform, it will be recorded as pending review before approval. Approval or rejection of a Transaction by Platform administrators reflects a review of the submitted record and does not constitute legal or financial certification of the underlying payment.
• Closed outcomes (Deals), including sales and leases, may be recorded on the Platform for reporting, portfolio, and performance purposes (such as tracking successful, lost, sale, or rental deals).
• Where a property or portfolio is held with a scheduled release or expiry date, it will become available for reassignment or renewed action once that date passes, in accordance with the Platform's automated scheduling rules.
• Roctoo is not a party to, and does not guarantee, broker, underwrite, or insure, any Transaction or Deal between Users. All negotiations, payments, and legal documentation between a buyer, seller, landlord, tenant, and/or Broker remain the sole responsibility of those parties.

7. Fees

Roctoo may charge fees for certain services, including featured or premium Listing placement, subscription plans for Brokers or Companies, or other paid features, as displayed on the Platform at the time of purchase. Fees are payable in advance unless otherwise stated, and are non-refundable except where required by law or expressly stated in writing by Roctoo.

8. User Conduct

You agree that you will not:

• Publish false, misleading, duplicated, or unauthorized property information;
• Impersonate any person or entity, or misrepresent your affiliation with a Company;
• Circumvent, disable, or interfere with the Platform's security, matching, or verification systems;
• Scrape, harvest, or extract data from the Platform other than through features provided for that purpose;
• Use the Platform to send unsolicited marketing or spam to other Users;
• Upload content that infringes the intellectual property or privacy rights of any third party;
• Use the Platform for any unlawful purpose or in violation of any applicable UAE law or regulation.

9. Intellectual Property

The Platform, including its design, software, matching logic, and the "Roctoo" name and logo, is owned by Roctoo Portal FZE or its licensors and is protected by applicable intellectual property laws. Users retain ownership of the Listing content, photographs, and Demand details they submit, but grant Roctoo a non-exclusive, worldwide license to host, display, and process that content for the purpose of operating the Platform.

10. Privacy

Personal data submitted to the Platform (including contact details, Listings, Demands, and Transaction records) is processed in accordance with Roctoo's Privacy Policy. By using the Platform, you consent to such processing, including the sharing of relevant contact and property details between matched Clients and Brokers for the purpose of facilitating a transaction.

11. Disclaimers

The Platform, including all Listings, Demands, Match scores, and Broker/Company profiles, is provided "as is" and "as available". Roctoo does not warrant the accuracy, completeness, or availability of any Listing, Demand, valuation, or Match, and does not verify every claim made by Users regarding ownership, licensing, or property condition. Users should conduct their own independent due diligence, including legal and property inspections, before entering into any transaction.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Roctoo Portal FZE shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profit, data, or goodwill, arising out of or in connection with your use of the Platform, any Listing, Demand, Match, Proposal, Transaction, or Deal, or any dealings between Users. Nothing in these Terms limits liability that cannot be excluded under mandatory UAE law.

13. Indemnification

You agree to indemnify and hold harmless Roctoo Portal FZE, its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Listings or Demands, or your dealings with other Users.

14. Suspension and Termination

• Roctoo may suspend or terminate your account or access to the Platform, with or without notice, if you breach these Terms, provide false information, or engage in conduct that we reasonably consider harmful to other Users or to the Platform.
• You may close your account at any time by contacting us. Certain records (such as historical Transactions and Deals) may be retained as required for legal, accounting, or regulatory purposes.

15. Changes to These Terms

Roctoo may update these Terms from time to time. Where changes are material, we will provide reasonable notice through the Platform or by email before the changes take effect. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates, without prejudice to any mandatory consumer protection rights you may have.
